These Terms & Conditions (“Terms”) are a binding legal agreement between you (“you,” “your,” or “User”) and Sage Trading (“Sage Trading,” “we,” “us,” or “our”) governing your access to and use of Nights on Wall Street (the “Service,” “Game,” or “Platform”).

By creating an account, logging in, accessing, installing, browsing, clicking “I agree,” or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, Virtual Currency & Compliance Notice, Billing, Refunds & Chargeback Policy, and Risk Disclosure & Disclaimer (collectively, the “Policies”), all of which are incorporated by reference and form part of these Terms.

If you do not agree, do not use the Service.

1) Definitions

  1. “Service” means Nights on Wall Street and all related software, websites, pages, endpoints, features, systems, and services operated by Sage Trading.
  2. “Account” means a registered user profile used to access the Service.
  3. “Virtual Currency” means any in-game units or balances, including points, credits, chips, tokens, coins, “S$,” or similar.
  4. “Purchase” means any paid top-up or payment that provides Virtual Currency or other digital gameplay value.
  5. “Content” means text, graphics, audio, code, software, design, and other materials in the Service.
  6. “Prohibited Conduct” means any activity described in Section 10 or reasonably deemed abusive, fraudulent, exploitative, or unlawful.

2) Eligibility; Age Requirement; Legal Compliance

  1. Age 18+ only. You must be at least 18 years old to access or use the Service.
  2. Legal compliance. You are responsible for ensuring your use of the Service is lawful in your jurisdiction.
  3. We may restrict access, refuse service, suspend, or terminate accounts if we reasonably believe you are under 18, using unlawfully, or creating compliance risk.

3) Entertainment Only; No Financial Advice; No Brokerage Relationship

  1. The Service is provided solely for entertainment and gameplay purposes.
  2. Nothing in the Service constitutes financial, investment, legal, tax, accounting, or professional advice.
  3. No brokerage services, real market execution, or real securities are provided.
  4. You agree not to rely on the Service for real-world financial decisions.

4) Account Registration; Account Security

  1. You agree to provide accurate information where required and maintain it as needed for account recovery/support.
  2. You are responsible for credentials and all activity under your Account.
  3. You may not share, sell, transfer, or sublicense your Account.
  4. If your Account is compromised, notify us promptly at sagetrading00@gmail.com.
  5. We may implement security controls such as sessions, device checks, rate limits, and anti-abuse systems.

5) License Grant; Acceptable Use

  1. Subject to these Terms, Sage Trading grants a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Service for lawful, non-commercial entertainment.
  2. You may not use the Service commercially without written permission.
  3. You may not copy, modify, distribute, sell, lease, or create derivative works except as expressly allowed.

6) Virtual Currency (Core Rules)

  1. Virtual Currency may be earned, received, held, used, or purchased for gameplay.
  2. No cash value, no redemption. Virtual Currency cannot be redeemed, withdrawn, or converted to real currency.
  3. Virtual Currency is not your property and is not a bank/stored-value account.
  4. Virtual Currency is a limited license for in-Service use.
  5. We may adjust, reset, remove, reverse, limit, or expire Virtual Currency for integrity, compliance, security, and correction reasons.

7) Purchases; Top-Ups; Disputes; Verification (If Offered)

  1. Purchases provide digital gameplay value only.
  2. Purchases are final and non-refundable except where required by law.
  3. Payments may be processed by third-party processors with separate terms.
  4. We may hold/review/reject/reverse credits for fraud prevention, disputes, duplicates, mismatches, unauthorized payments, violations, or risk.
  5. If you initiate a dispute/chargeback, we may restrict your Account during investigation and remove related credits.

8) Service Changes; Availability; Maintenance

  1. The Service is provided “as is” and “as available.”
  2. We may change, suspend, remove, discontinue, or modify any feature at any time.
  3. We do not guarantee uninterrupted availability or that any feature remains available.

9) Errors; Integrity Corrections

  1. The Service may contain bugs, errors, outages, or unintended behavior.
  2. We may correct errors by adjusting accounts, reversing benefits, or removing Virtual Currency from exploit/malfunction outcomes.

10) Prohibited Conduct

  1. Exploiting bugs/glitches/vulnerabilities.
  2. Using bots/macros/scripts/automation/cheat software.
  3. Attempting unauthorized access to admin routes, protected endpoints, or other users’ data.
  4. Interfering with Service operation/security, including malicious activity.
  5. Submitting false/forged/duplicated claim or payment evidence.
  6. Violating applicable law while using the Service.

11) Enforcement; Suspension; Termination

  1. We may suspend, restrict, or terminate access if we believe you violated these Terms or created risk.
  2. Enforcement may include warnings, restrictions, rollbacks, removal of Virtual Currency, and termination.
  3. Upon termination, your license ends immediately and Virtual Currency/progress may be forfeited as permitted by law.

12) Intellectual Property

  1. The Service and Content are owned by Sage Trading and/or licensors and protected by law.
  2. You may not use names, logos, or branding without written permission.

13) Third-Party Services

  1. The Service may rely on third-party providers (hosting, security, payments).
  2. Third-party links/services may have separate terms and policies.

14) Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

15) Limitation of Liability

  1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAGE TRADING WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
  2. IF LIABILITY IS FOUND, TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT YOU PAID IN THE 90 DAYS BEFORE THE CLAIM (OR $0 IF NONE), UNLESS LAW REQUIRES OTHERWISE.

16) Indemnification

You agree to indemnify and hold harmless Sage Trading from claims, damages, liabilities, and expenses arising from your use of the Service, violations, or unlawful conduct.

17) Governing Law; Venue

  1. These Terms are governed by the laws of the State of Connecticut, USA, without conflict-of-law principles that apply other law.
  2. Except where prohibited by consumer law, actions must be brought exclusively in state/federal courts located in Connecticut.
  3. If you access from outside Connecticut/USA, you remain responsible for local law compliance.

18) Notices

  2. We may provide notices by in-Service posting, email, or other reasonable means.

19) Miscellaneous

  1. Severability: unenforceable provisions do not affect remaining provisions.
  2. Entire Agreement: these Terms and Policies are the entire agreement regarding the Service.
  3. No waiver: failure to enforce is not a waiver.
  4. Assignment: you may not assign rights without consent; we may assign in business transactions.
